Acceptable Use Policy for API Service

1. Introduction

This Acceptable Use Policy ("AUP") outlines the appropriate usage of the Lead Forensics API Service and any data retrieved by this service, by Lead Forensics Users (“Users”).

By using this Service, Users agree to comply with all terms of this AUP.

As used in these Terms, “API” means programmatic web APIs and associated tools and documentation that Lead Forensics makes available to Lead Forensics subscribers and partners under these Terms.

We may amend, modify or substitute this AUP at any time and any such modification, amendment or substitution shall be posted within the Lead Forensics Portal and Users will be notified through the Message notifications inside the portal used to access the User’s Lead Forensics Subscription. Any updates will become automatically effective for all Users when posted.
We recommend that Users visit the Lead Forensics Portal regularly to check for any updates or amendments to this AUP.

This AUP governs the use of the Lead Forensics API service. This does not supersede any existing agreements already in place between Lead Forensics Ltd or Lead Forensics Inc. and the User.

2. Access to the API

Access to the API will be granted only to Users who have an active Lead Forensics subscription. On termination of the contract with Lead Forensics, the Users API access will also be terminated.

Users will request access to the API through their Customer Success Manager. Users will be given Access Credentials for the API. “Access Credentials” means the necessary security keys, tokens, and other credentials to access the APIs. The Access Credentials enable us to associate User API activity with the User’s Lead Forensics Portal. All activities that occur using these Access Credentials are the User’s responsibility.

The Lead Forensics API is owned by Lead Forensics and is licensed to Users on a worldwide (except as limited below), non-exclusive, non-sublicensable basis in accordance with these terms.

3. Responsibility of the User

Responsibility

a) Users agree to use Lead Forensics’ services in a manner that is legal, appropriate and in conformity with industry standards.

b) It is not acceptable to develop or derive for commercial sale any data in any format that incorporates or uses any of the information provided within the Lead Forensics Portal and any data obtained through the API Service, except with the prior written consent of Lead Forensics Ltd & Lead Forensics Inc.

c) Users may not share Client ID or API Key(s) with any third party except as permitted by Lead Forensics for the use of the User’s Service. Users may not share Lead Forensics Data with any third party except with the prior written consent of Lead Forensics Ltd & Lead Forensics Inc. where this is required for the use of the User’s service.

d) Users may not use the Lead Forensics API or Lead Forensics API Materials to distribute any virus, spyware, adware, malware, or other harmful or malicious component.

e) Users may not use the Lead Forensics API or Lead Forensics API Materials for any purpose which or might overburden, impair or disrupt the Lead Forensics Services or related servers or networks.

f) User must not impose any terms on users of the User’s service that are inconsistent with these API Terms.

If Users breach any of the terms within this policy, Lead Forensics may immediately remove access to the API Service. Lead Forensics Ltd & Lead Forensics Inc. may also terminate or suspend access to User account.

4. Confidential Information

The User acknowledges that in accessing the Lead Forensics API Service, they may receive information about Lead Forensics and/or its business that Lead Forensics considers proprietary and confidential (“Confidential Information”). The User agrees to keep in strict confidence, and not to use except as expressly permitted hereby, all Confidential Information, including but not limited to technical or commercial know how, specifications, inventions, processes or initiatives, which is disclosed by Lead Forensics. The Customer will use any data derived from use of the Services solely for its own internal use and will not make it available to any third party without the express written approval of Lead Forensics.

5. Jurisdiction

For users with a contract made in the UK: This Policy shall be governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the Courts of England and Wales.

For Users with a contract in the USA: This Agreement shall be governed by Georgia law and controlling United States federal law, without regard to the choice or conflicts of law provisions of any jurisdiction, and any disputes, actions, claims or causes of action arising out of or in connection with this Agreement or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Atlanta, Georgia. The Customer hereby submits to the jurisdiction of such courts for the adjudication of any dispute governed hereby.

6. Updates

This Policy may be updated from time to time. If we update or change this AUP, the updated AUP will be published on the Lead Forensics Portal and the API Documentation Site

Users will also be notified by email of any changes to these terms.
